1. Acceptance of Terms
By accessing, using, registering for, or purchasing any subscription to this CRM platform ("Service"), you ("Customer", "you") agree to be bound by these Terms & Conditions ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not use the Service.
2. Modification of Terms
We reserve the right to modify, update, or change these Terms at any time without prior notice. Changes become effective immediately upon posting. Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
3. Account Responsibilities
You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that your use of the Service complies with all applicable laws

4. Subscription & Billing
The Service is offered on a subscription basis with the following terms:

- Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.

- Taxes: All prices are exclusive of applicable taxes, which will be added where required by law.

5. No Refund Policy
ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES.
By purchasing a subscription, you acknowledge and agree that:
- All payments are non-refundable, including but not limited to monthly fees, annual fees, setup fees, and any add-on charges.
- No refunds will be provided for partial months, unused features, account downgrades, or early cancellation.
- If you cancel your subscription, you will retain access to the Service until the end of your current billing period, after which your access will be terminated.
- No pro-rated refunds or credits will be issued for any reason, including dissatisfaction with the Service, technical issues, or changes in your business needs.
We strongly encourage you to evaluate the Service during the free trial period before purchasing a paid subscription.
6. Free Trial
We may offer a free trial period for new accounts. During the trial:
- No payment is required until the trial period ends.
- If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged.
- Trial periods may be modified or discontinued at our discretion.
7. Data Ownership & Multi-Tenant Isolation
You retain full ownership of all data you input into the Service ("Customer Data"). We do not claim ownership of your Customer Data.
- Tenant Isolation: The Service operates on a multi-tenant architecture. Your data is logically isolated from other customers' data through tenant-level access controls.
- Data Export: You may export your data at any time through the Service's built-in export functionality or API.
- Data Deletion: Upon account termination, your data will be retained for 30 days to allow recovery, after which it will be permanently deleted.
8. API Usage & Rate Limits
Access to the Service's API is subject to:
- Rate limits as defined by your subscription plan
- Fair use policies — excessive or abusive API usage may result in throttling or suspension
- API access may be restricted or modified at any time
9. Acceptable Use
You agree not to use the Service to:
- Send unsolicited bulk messages (spam) through any communication channel
- Violate any applicable laws, regulations, or third-party rights
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to other accounts or systems
- Reverse engineer, decompile, or disassemble the Service
- Resell or redistribute the Service without authorization
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. We are not liable for any downtime, data loss, or service interruptions caused by maintenance, technical failures, third-party service outages, or force majeure events.
11. Termination
Either party may terminate the subscription:
- By Customer: You may cancel your subscription at any time through the Service. Access continues until the end of your current billing period.
- By Us: We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or engage in activity that harms the Service or other users.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service, regardless of the theory of liability.
Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service provider is registered, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.
